Effective Date: October 15, 2009

1. Term of the Agreement
Welcome to the OpenMyStore Affiliate Agreement ("Agreement"). This Agreement sets forth the terms and conditions under which OpenMyStore.com makes the OpenMyStore Affiliate Program ("Affiliate Program") available to you. By becoming a OpenMyStore Affiliate and using the Affiliate Program you expressly agree to be bound by and follow all terms and conditions set forth in this Agreement. If you do not agree to be bound by this Agreement, your sole recourse is not to participate in the Affiliate Program. We are independent parties and this agreement will not form any partnership.

2. Modification
OpenMyStore.com reserves the right to add, delete and/or modify any of the terms and conditions contained in this Agreement, at any time and in its sole discretion, by posting a change notice or a new agreement on the OpenMyStore.com Web Site. In the event of substantive changes to the terms of this Agreement, you may be notified by email. If any modification is unacceptable to you, your only recourse is to terminate this Agreement and you participation in the Affiliate Program. Your continued participation in the Affiliate Program following posting of a change notice or new agreement on the OpenMyStore.com Web Site will constitute binding acceptance of the changes.

3. Becoming a OpenMyStore Affiliate
3.1 Eligibility. OpenMyStore.com will only knowingly provide the Affiliate Program to parties that can lawfully enter into and form contracts under applicable law. If you are under the age of 18, but at least 13 years of age, you may participate in the Affiliate Program only under the supervision and consent of a parent or legal guardian who agrees to be bound by this Agreement. The Affiliate Program is not intended for children under the age of 13.
3.2 Opening an Account. If you are a current OpenMyStore subscriber, you are able to participate the Affiliate program right away once you enroll in the Affiliate Program. If you are not a subscriber of our service, you will need to go through the enrollment process.
3.3 Enrollment Process. To begin the enrollment process, you will submit an application via our site. We will evaluate your application in good faith and will notify you of your acceptance or rejection. We may reject your application if we determine (at our sole discretion) that your site is unsuitable for the Program. Your site should:

• Generate sufficient traffic to our websites
• Attract a customer base who may be interested in our products
• Not promote illegal activities or sexually inappropriate materials or violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age

4. Limitation of Liability.
We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under to this Agreement.

5. SPAM.
OpenMyStore has a zero tolerance policy for SPAM. Any Affiliate accused of SPAMMING will be immediately suspended while the company, in their sole discretion, determines if the validity of the SPAM complaint. Valid SPAM complaints will result in the immediate termination of your account and forfeiture of any commissions owed you.

6. Your Obligations
6.1 You must use the Affiliate Program in a manner that demonstrates common sense and respect for the rights of OpenMyStore.com and third parties. You must comply with the Affiliate Guidelines and any other applicable guidelines set forth in the Enrollment Process about what site contents are not allowed.
6.2 Special Links. As a member of the Affiliate Program, OpenMyStore.com will provide you with special "tagged" link formats ("Special Link(s)") also known as ¡§Affiliate Link(s)¡¨ to be used in linking to the OpenMyStore.com Web Site. The Special Links will permit tracking, reporting, and commission calculations. You must ensure that each of these links properly utilize the Special Link formats. You will only earn commissions on activities occurring on the OpenMyStore.com Web Site if such activity was originated from properly formatted Special Links. OpenMyStore.com will not be liable to you for any failure by you to use Special Links, including to the extent that such failure may result in any reduction of amounts, which may otherwise be paid to you pursuant to this Agreement.
6.3 Usage of Affiliate Links. You can use your affiliate links in your unsolicited email campaign or your own websites. You may also pay- per-click (PPC) campaign such as Google AdWords^TM and you ARE allowed to use the keyword ¡§OpenMyStore¡¨ and similar keywords in AdWords and other PPC advertising. You may also use such keywords in your search engine optimization methods. Examples of other acceptable ways to promote OpenMyStore are: banners, product reviews, text links, and letters of recommendation to your newsletter subscribers or your clients.

7. Referral Commissions and Payments Procedures.
The amount of referral commissions due to affiliates will be as follows: For an online sale, which we make as a result of a direct link from the affiliate's website, that affiliate will receive up to 28 percent commission fee of the selling price of the service or product sold (not including shipping and handling or taxes). This is known as a referral commission or referral fee. For an online sale, we adopt the Performance-based Commission plan on monthly basis. This means that we calculate the commission based on sales volume each month. In this way, you will earn higher commission when you generate a sufficient volume of referrals that result in sales at OpenMyStore.com during a month. The higher your referrals, the greater your earnings will be. Please refer to the referral rate tier chart below for additional details.

Please note that we will NOT implement a sub-affiliate commission structure or two-tier affiliate program and instead, we will increase our referral fee from time to time. In addition, there is no cap limit on how much you can earn through this program. OpenMyStore will pay Affiliates thirty days (45) after the end of each calendar month for all commissions earned during the prior month, less any taxes we may be required to withhold, and less any amount OpenMyStore determines, in its sole discretion, was not validly earned from proper use of the link on affiliate's web site. A commission will only be credited to an affiliate after the customer has made full payment to company. If a customer later requests a refund or a chargeback is issued by the credit card holder whose credit card was used to pay for that customer's account, any commissions that were credited to affiliates will be deducted from the next monthly payment. If there is no next monthly payment, the affiliate will be billed and hereby agrees to be bound by law to reimburse OpenMyStore in full for any such commissions. Payments will be issued via PayPal only. All affiliates must have a PayPal account. Affiliates must have accumulated commissions of at least $100 for a given payment period before a commission will be issued. If commissions are less than $100 for a given month, the commissions will be held over till the next month. This will continue until the commissions accumulate to more than $100.

8. Tracking of Sales.
OpenMyStore will be solely responsible for tracking sales using special software that communicates with the specially encoded URLs assigned to affiliates. OpenMyStore will endeavor to do its best to ensure accurate tracking of referrals made by affiliates. Affiliates will themselves be solely responsible for ensuring that these special URLs are formatted properly, a necessary prerequisite to accurate tracking of referral sales. Notwithstanding the above statement of responsibility by OpenMyStore to track sales, affiliates hereby acknowledge and accept that the tracking system employed by Company is not 100% fail-safe and that there may on occasion be instances of referral sales made that are not credited to an affiliate for any of the following possible reasons:
* Failure by the affiliate to use the proper format of the specially assigned URL in promotions, webpage links, banner ads, and so on
* Deliberate or accidental actions by customers to circumvent an affiliate's special URL so that our software is unable to accurately track that sale Bugs, glitches or crashes of the tracking software that render it unable to accurately track sales for a period of time Acts of nature that cause irretrievable data loss on the computers and back-up disk media.

9. Disclaimer
We make no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn income from the OpenMyStore Affiliate Program. In addition, we make no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time. This Agreement will be governed by the laws of the United States and the District of Columbia, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the Federal or State courts located in Los Angeles, California, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. By accepting this Affiliate Agreement form, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.
